RBC takes over Fullscreen Digital

PNSA advised Romanian Business Consult (RBC), the largest integrator of IT solutions for the retail industry, on the acquisition of Fullscreen Digital software company, thus strengthening its expertise in software development and digital transformation and expanding the range of IT services it offers to its customers.

RBC has over 30 years of experience and is led by Mr. Andrei Bojiţă and ORESA.

PNSA provided extensive legal assistance throughout the entire acquisition process, from legal and tax due diligence up to transaction documents' drafting, negotiations, and completion.

PNSA team was led by M&A Partner Silviu Stoica, along with M&A Managing Associate Vlad Ambrozie, with the support of colleagues from the Competition department - Mihaela Ion (Partner); Employment - Ioana Cazacu (Managing Associate) and Bianca Țărăscu (Senior Associate); Data Privacy - Luana Dragomirescu (Of Counsel) and Ioana Popovici (Associate); Intellectual Property - Camelia Constantin (Managing Associate); Corporate - Roxana Chiscop (Senior Associate) and Elena Eftene (Associate).

The tax assistance was provided by PNSA Tax led by Raluca Rusu (Tax Partner), along with Ioana Năstase (Senior Tax Manager) and Ileana Radu Cernat (Tax Manager).

In 2022, PNSA also advised RBC on the acquisition of SmartPay Software (SPS), specialized in the development of solutions for the payment processing industry.
